TERMS OF SERVICE

IMPORTANT: Please read these Terms of Service carefully before using Zoloto Nexus. By accessing or using our software, you acknowledge that you have read, understood, and agree to be bound by these terms.

1. ACCEPTANCE OF TERMS

By accessing, downloading, purchasing, or using Zoloto Nexus ("the Software," "the Service," "our platform"), you ("User," "you," "your") enter into a legally binding agreement with Zoloto Systems ("we," "us," "our," "the Company"). If you do not agree to these terms, you must immediately discontinue use of the Software.

2. SERVICE DESCRIPTION

Zoloto Nexus is a roulette automation and strategy execution platform. The Software provides:

2.1 Multi-Currency Mode (USD / ARS)

Zoloto Nexus may be used on supported roulette tables that denominate chips in different currencies, including USD and ARS. You are responsible for selecting the correct currency mode inside the Software before engaging automation.

Reporting & Analytics: For consistency across leaderboards, network telemetry, and website displays, the Service may display certain monetary values as USD-equivalent using a fixed reference conversion configured in the Software. This conversion is provided for convenience and comparison only; it is not an FX service and may not reflect a real-time exchange rate. Actual wagering occurs in the table’s native currency and is governed by the casino platform.

Risk Notice: Selecting the wrong currency mode can result in unintended bet sizes. Always verify chip denomination and table currency prior to running automated execution.

CRITICAL CLARIFICATION: The Software does NOT predict outcomes, perform pattern recognition, or analyze probability. It executes betting strategies based entirely on user-configured parameters (wait counts, bet sizes, ROI targets). All strategic decisions are made by YOU, the user.

The Software is provided solely as an execution tool for analysis and entertainment purposes.

3. NO GUARANTEE OF RESULTS

3.1 Performance Disclaimer

WE EXPLICITLY DISCLAIM ANY AND ALL GUARANTEES, WARRANTIES, OR REPRESENTATIONS REGARDING:

Users acknowledge that roulette is a game of chance with a built-in house edge. No system, algorithm, or software can overcome this mathematical disadvantage in the long term. Past performance does not indicate future results.

Zoloto Nexus interacts with third-party gambling platforms through on-screen execution. Because of this, the stability of your device, display, and browser environment is critical. If the screen layout changes or anything overlays the game interface, the Software may not behave as intended and may click unintended areas.

You acknowledge and agree that you are responsible for maintaining a stable operating environment, including (without limitation):

5. LIMITATION OF LIABILITY

5.1 Maximum Liability Cap

TO THE FULLEST EXTENT PERMITTED BY LAW, ZOLOTO SYSTEMS' TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SOFTWARE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR YOUR CURRENT SOFTWARE LICENSE.

What this means in plain English: If something goes wrong with the software (bugs, errors, financial losses, etc.), the maximum amount we could ever owe you is limited to what you paid for your subscription. For example:

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Software for personal, non-commercial purposes.

All rights, title, and interest in and to the Software, including all algorithms, code, designs, trademarks, and trade secrets, are and shall remain the exclusive property of Zoloto Systems. No rights are granted except as explicitly stated herein.

9. TERMINATION

We reserve the right to suspend or terminate your access to the Software at any time, with or without notice, for any reason, including but not limited to:

You may terminate your use of the Software at any time. Subscription fees are non-refundable except as required by law.

9.3 Effect of Termination

Upon termination, you must immediately cease all use of the Software and destroy all copies in your possession.

10. SUBSCRIPTION AND PAYMENT TERMS

10.1 Fees

Access to certain features requires payment of subscription fees as displayed on our pricing page. All fees are non-refundable except as required by applicable law.

10.2 Automatic Renewal

Subscriptions automatically renew unless cancelled before the renewal date. You authorize us to charge your payment method for renewal fees.

10.3 Price Changes

We reserve the right to modify subscription prices with 30 days' notice to existing subscribers.

10A. ALPHA50 PROGRAM (COHORT ACCESS)

Alpha50 is a limited-access program that may be offered as a cohort, early access tier, invite-only release, or time-limited launch bundle. Alpha50 may include unique entitlements, pricing, features, or support levels.

10A.1 Limited Seats & Reservation Holds

Alpha50 availability may be limited by seat count. When you initiate checkout for Alpha50, we may temporarily hold a seat for a limited period of time (a "reservation hold") to allow you to complete payment. During a reservation hold, your seat may display as reserved even if payment has not yet been confirmed.

10A.2 Payment Confirmation & Access Activation

Alpha50 access is activated only after we receive confirmation from our payment provider(s) that payment has completed and cleared. Network congestion, incorrect payment amounts, or late payments may delay or prevent activation.

10A.3 Changes, Suspension, or Termination

We reserve the right to modify, pause, or discontinue Alpha50 at any time, including changing eligibility requirements or available seats, to protect the Service and its users. If we reasonably believe an account is engaging in fraud, chargeback abuse, seat-hoarding, or other misuse, we may cancel the reservation hold and/or terminate access in accordance with Section 9.

10A.4 Non-Transferability

Alpha50 access (including any seat number, cohort status, and related entitlements) is personal to your account and is non-transferable unless we explicitly authorize a transfer in writing.

10B. GOLDEN TICKET PROMOTION

Golden Ticket is a promotional mechanic that may grant discounted access, early access, upgrades, bonus time, or other benefits ("Promotion Benefits"). Golden Ticket availability, criteria, and benefits may change at any time.

10B.1 Eligibility, Redemption, and Limits

10B.2 No Cash Value; Not a Refund

Golden Tickets have no cash value, are not legal tender, and are not a substitute for refunds. Promotional value cannot be redeemed for cash, cryptocurrency, or equivalent value unless explicitly stated by us in writing.

10B.3 Anti-Abuse & Enforcement

Any attempt to exploit Golden Ticket redemption (including multi-accounting, automated redemption, referral manipulation, payment fraud, or other abuse) may result in revocation of Promotion Benefits, cancellation of reservations/entitlements, and termination under Section 9.

10C. THE HIGH TABLE (INVITE-ONLY MODULE)

THE HIGH TABLE is an invite-only intake and coordination module that may be made available to certain users. Access may require a valid invite token, additional eligibility checks, and active membership status.

10C.1 Coordination + Accounting Tools (No Custody)

THE HIGH TABLE is provided for planning, discussion, coordination, and (where enabled) internal accounting views to help invited members organize participation. These tools may include (without limitation) member-entered contribution amounts, equal vs weighted allocation math, profit periods, session snapshots, and payout-status bookkeeping.

No custody / no escrow: The Service does not hold user funds, provide escrow, act as a money transmitter, or execute peer-to-peer payments. Any deposits, withdrawals, transfers, cashouts, repayments, or payouts among participants occur off-platform and are the responsibility of the participants.

Seat Fee Clarification: We may charge a separate seat fee (a platform access fee) for participation in THE HIGH TABLE cycles. This seat fee is processed through our payment provider(s) (e.g., Coinbase Commerce) and is not a pooled bankroll contribution.

10C.2 User Submissions

THE HIGH TABLE may allow you to submit limited information (for example: an alias, contact method, and preferences/intent). You are responsible for the accuracy of your submission and for ensuring you have the right to share any information you provide.

10C.2A Equal vs Weighted Contribution Preferences

THE HIGH TABLE may allow you to express preferences regarding equal-seat versus weighted-seat contributions, including an optional estimated contribution amount. If a weighted model is used, users may allocate gains and losses proportionally to contributions (e.g., weight = contribution / total contributions). Any such allocation methodology is for planning and coordination only and is not a guarantee of outcomes.

10C.8 Pool Accounting, Profit Periods, and Payout Tracking

If enabled, THE HIGH TABLE may display profit periods (for example: 30-day cycles) and optional session snapshots (for example: weekly snapshots). The Service may compute informational allocation outputs (equal split or weighted split) based on member-entered contributions and reported profit/loss values.

10C.9 Contribution Changes, Corrections, and Early Cashouts

Members may be permitted to update their stated contribution amount over time (for example, correcting an entry, adjusting participation size, or reflecting a partial withdrawal/early cashout).

10C.10 Seat Payoff Using Profit Share (If Enabled)

If enabled, the Service may allow administrators to record that some or all of a member’s profit share is applied toward that member’s seat fee balance as internal bookkeeping. This is not a refund, not an investment contract, and does not represent custody of funds by the Company.

10C.3 Roster Visibility and Privacy

THE HIGH TABLE may provide a roster view visible only to invited members. The roster is designed to display masked contact information (e.g., partial masking) rather than full contact details; however, you acknowledge that sharing any information with other users carries inherent privacy and social-engineering risks.

10C.4 Anti-Abuse, Limits, and Enforcement

We may impose limits on participation (including limiting submissions per account, invalidating invites, or revoking access) to prevent abuse, spam, fraud, or harassment. Attempts to exploit THE HIGH TABLE or to circumvent access controls may result in suspension or termination under Section 9.

10C.5 Applications, Monthly Cycles, and Availability

THE HIGH TABLE may operate in monthly cycles. Access to THE HIGH TABLE pages does not guarantee a seat in any specific cycle. We may require that you complete an application/intake before you can initiate checkout for a seat.

10C.6 Seat Fees, Discounts, and Intro Pricing

If offered, seat fees and any discount eligibility (including but not limited to Monthly subscribers, Lifetime entitlements, Alpha50, or promotional codes) are displayed at checkout and/or on our pricing pages and may change over time.

10C.7 Payment Confirmation & Activation (Coinbase Commerce)

Seat access is activated only after we receive confirmation from our payment provider(s) that payment has completed and cleared. Cryptocurrency networks can be delayed; incorrect payment amounts, late payments, or expired checkouts may delay or prevent activation.

Crypto finality: Cryptocurrency transactions are generally irreversible. You are responsible for sending the correct amount to the correct address within the required time window.

11. DISCLAIMER OF WARRANTIES

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

12. GOVERNING LAW AND DISPUTE RESOLUTION

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

12.2 Arbitration Agreement

Any dispute arising from these Terms or the Software shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive your right to a jury trial or to participate in a class action lawsuit.

12.3 Venue

If arbitration is unavailable, disputes shall be resolved in the courts of Delaware, and you consent to personal jurisdiction there.

13. PRIVACY AND DATA COLLECTION

Your use of the Software is subject to our Privacy Policy. We collect and use data as described in that policy, which is incorporated into these Terms by reference.

14. MODIFICATIONS TO TERMS

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or in-app notification. Continued use after changes constitutes acceptance of the modified Terms.

15. SEVERABILITY

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. ENTIRE AGREEMENT

These Terms constitute the entire agreement between you and Zoloto Systems regarding the Software and supersede all prior agreements and understandings.

17. NO WAIVER

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
